There are other items with both the ethereal and indistructible properties at the same time so why not TM?
Your probably thinking of items with repair durability (or replenish quantity). The only way that an item that is indestructible (and this includes phase blades) can spawn ethereal is if the item was meant to (like in the case of the unique assassin weapon, Shadow Killer).

Items like Ethereal Edge and Ghostflame spawns that way too. But since ethereal are picked at random it could spawn on indistructible items as well?
Ethereal Edge and Ghostflame ALWAYS spawn ethereal.
If a unique has the "Indestructible" mod on it, it CANNOT spawn ethereal UNLESS it ALWAYS spawns ethereal. Phase blades are automatically indestructible, hence azurewrath and lightsabre also CANNOT spawn ethereal.
