The easiest way would probably be to just simply copy and past the D2 folder to a place other than the default location, for instance a folder on your desktop (but anywhere will work). Then uninstall D2 (it will remove it from the default location, but you copied the folder, so you still have the folder's contents in the new pasted location). Then re-install D2 again using the 2nd CD-key. You can then make another shortcut that just points to where ever you put the pasted original game folder, just have it point to the game file in that folder. Since the new folder contains all the necessary files to run D2, it will work fine even though it isn't technically "installed". If you were to do this and then not reinstall another copy, the original copy would still run, but Windows wouldn't technically know about it in the registry etc, or from add/remove programs.
I've done this before to have the newest patch in order to play on b.net, but also play on single player to use other previous patches before. This method still will only allow one copy of Diablo II to run at any given time, so should be "legal" in that sense, but if you install the new one with the "key number 2", you should be able to play while your son uses "key number 1" on your home computer. Hope the helps.
Try window's faster user switching. Basically just install D2 on a separate user account. I've tried it before and it works. Very simple to set up.
Tutorial (I did not make this vid) (http://www.youtube.com/watch?v=Ul1jOEMiMPI)
Edit: by the way, I'm amazed both you and your son play D2.
